Terms of Service

The terms governing access to and use of Tangent9 products and services, including the Personal Assistance (PA) Platform and the Agentic Workforce Platform. Singapore law governs all current deployments.

Master Terms

Applicable to all products and all users.

1 About us and these Terms

1.1 These Terms of Service ("Terms") are issued by Tangent9 Pte. Ltd. (UEN: 202541051K), a company incorporated in Singapore ("we", "us", "our").

1.2 These Terms govern your access to and use of all software products, platforms, applications, and services operated by Tangent9, including the PA Platform and the Agentic Workforce Platform (collectively, "the Services").

1.3 By registering for, accessing, or using any of the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

1.4 If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2 Definitions

Service(s)
All products and platforms operated by Tangent9, including the PA Platform and the Agentic Workforce Platform.
User
Any individual who accesses or uses the Services, whether as a consumer subscriber or as an employee of an enterprise customer.
Tenant
An organisation that has subscribed to the Services and whose employees or agents access the Services through a tenant-branded instance.
AI Features
Any feature powered by a large language model (LLM), including but not limited to the AI Personal Assistant, AI Business Research Agent, OCR skills, lead scoring, and autonomous agent capabilities.
Content
Any data, text, files, images, or other material submitted to or generated by the Services.
Third-Party LLM Provider
External AI model providers used to power AI Features, including Anthropic (Claude) and OpenAI (GPT), as configured.
Subscription
A paid or trial plan that grants access to the Services for a defined period.
Governing Law
The laws of the Republic of Singapore.

3 Account registration and access

3.1 To use the Services, you must register for an account using a valid email address. You are responsible for maintaining the confidentiality of your login credentials.

3.2 You must provide accurate, current, and complete information during registration and keep your account information updated.

3.3 You are responsible for all activity that occurs under your account. You must notify us immediately at support@tangent9.com if you suspect unauthorised access.

3.4 We reserve the right to suspend or terminate accounts that violate these Terms, are inactive for an extended period, or are associated with fraudulent activity.

3.5 The Services use passwordless authentication methods including Magic Link, One-Time Password (OTP), and WebAuthn biometric verification. You agree to use these authentication methods as required and to complete periodic re-verification as prompted by the platform.

4 Acceptable use

4.1 You agree to use the Services only for lawful purposes and in accordance with these Terms.

4.2 You must not:

  1. Use the Services to violate any applicable law or regulation, including the Singapore Personal Data Protection Act 2012 (PDPA) and any other applicable data protection laws;
  2. Attempt to circumvent, disable, or interfere with any security, authentication, approval workflow, or access control feature of the Services;
  3. Input, upload, or transmit any content that is unlawful, harmful, defamatory, obscene, or that infringes any third-party intellectual property rights;
  4. Attempt to extract, reverse-engineer, or reconstruct any system prompt, model weights, proprietary algorithm, or internal configuration of the Services;
  5. Use the Services to generate, distribute, or facilitate spam, phishing, or any form of deceptive communication;
  6. Attempt to manipulate AI Features through prompt injection, jailbreaking, persona manipulation, identity spoofing, or any other technique designed to cause the AI to act outside its defined boundaries;
  7. Use the Services to process or store data at a classification level for which your subscription plan is not authorised;
  8. Share your account credentials with any person not authorised under your subscription.

4.3 We reserve the right to investigate suspected violations of this section and to take appropriate action, including suspension, termination, and reporting to relevant authorities.

5 AI Features, important notices

5.1 Nature of AI outputs

5.1.1 The AI Features in the Services are powered by third-party large language models (LLMs). AI outputs are probabilistic and non-deterministic: the same input may produce different outputs across separate interactions. AI outputs are not guaranteed to be accurate, complete, current, or fit for any particular purpose.

5.1.2 AI Features are designed as decision-support tools. They assist users in drafting, summarising, researching, and organising information. They are not designed to be, and must not be relied upon as, the sole basis for any consequential business, legal, financial, medical, or regulatory decision.

5.1.3 You acknowledge that AI-generated content, including summaries, research outputs, drafted emails, expense extractions, and contact details extracted via OCR, may contain errors, omissions, or hallucinations. You are responsible for reviewing and verifying all AI-generated outputs before acting on them.

5.2 Human oversight obligation

5.2.1 You agree to maintain meaningful human oversight over all actions taken with the assistance of AI Features. Specifically:

  1. You will review AI-generated content before approving any action that affects third parties, commits your organisation to any obligation, or triggers any financial, legal, or operational consequence;
  2. You will not configure or use the Services in a manner that removes human review from any workflow that the platform designates as requiring human approval;
  3. You acknowledge that approval workflows built into the Services (such as expense claim approvals and leave application approvals) are a required safety control and must not be bypassed.

5.3 AI governance and safety architecture

5.3.1 Tangent9 operates a layered AI safety architecture that includes input safety controls, output validation, risk-tiered action classification, human approval gating, and comprehensive audit logging. These controls are designed to ensure the AI acts as a decision-support tool and not as an autonomous decision-maker.

5.3.2 Despite these controls, no AI system can guarantee perfect safety or accuracy. Tangent9 does not warrant that AI Features will be error-free, that all unsafe inputs will be detected, or that all AI outputs will be accurate.

5.3.3 The LLM providers used to power AI Features (including Anthropic and OpenAI) may update their models at any time. Such updates may alter the behaviour of AI Features without prior notice. Tangent9 will monitor for material behavioural changes and take appropriate action, but cannot guarantee identical AI behaviour across model versions.

5.4 Prohibited AI use cases

5.4.1 You must not use AI Features for any of the following purposes:

  1. Generating content intended to deceive, defraud, or manipulate any person;
  2. Processing special categories of personal data (including health, biometric, or financial data) unless explicitly authorised under your subscription plan and applicable law;
  3. Making fully automated decisions that produce legal or similarly significant effects on individuals without human review;
  4. Any application that constitutes a high-risk AI use case as defined under applicable AI governance frameworks, unless you have obtained prior written consent from Tangent9 and have implemented appropriate additional safeguards.

6 Data and privacy

6.1 Our collection, use, and handling of personal data is governed by our Privacy Policy, which forms part of these Terms.

6.2 You are responsible for ensuring that any personal data you submit to the Services has been collected lawfully and that you have the right to process it using the Services.

6.3 You acknowledge that:

  1. Input data submitted to AI Features may be processed by third-party LLM providers (Anthropic, OpenAI, or others as configured). We implement contractual and technical controls to limit data exposure to these providers, but you should review the relevant provider terms before submitting sensitive data;
  2. All AI interactions are logged in an audit log for security, debugging, and governance purposes as described in our Privacy Policy;
  3. Personal data detected in AI inputs (such as NRIC numbers, credit card numbers, or API keys) is designed to be automatically masked before being forwarded to LLM providers.

6.4 For enterprise customers (Tenants), data processing obligations are further governed by the Data Processing Addendum (DPA) which forms Schedule C to these Terms and is incorporated herein by reference.

7 Intellectual property

7.1 All intellectual property rights in the Services, including software, design, architecture, documentation, prompts, and AI models developed by Tangent9, remain the exclusive property of Tangent9 or its licensors.

7.2 You retain ownership of all Content you submit to the Services. By submitting Content, you grant Tangent9 a limited, non-exclusive, royalty-free licence to process that Content solely for the purpose of providing the Services to you.

7.3 AI-generated outputs produced by the Services in response to your inputs are provided to you for your use. Tangent9 makes no representation regarding the intellectual property status of AI-generated outputs and you use them at your own risk.

7.4 You must not copy, modify, distribute, sell, sublicense, or create derivative works of any part of the Services without our prior written consent.

8 Availability and service levels

8.1 We will use commercially reasonable efforts to make the Services available. However, we do not guarantee uninterrupted or error-free availability.

8.2 We may perform scheduled or emergency maintenance that temporarily affects availability. We will provide advance notice of scheduled maintenance where reasonably practicable.

8.3 The Services require an active internet connection. Certain features, particularly AI Features, require connectivity to third-party LLM providers. Degraded performance or unavailability of third-party providers may affect AI Feature availability.

8.4 Specific service level commitments (where applicable) are set out in the applicable Schedule or in a separate Service Level Agreement executed between the parties.

9 Fees and payment

9.1 Access to the Services is subject to payment of applicable subscription fees as set out in the pricing plan selected at the time of registration or as agreed in a separate order form.

9.2 Fees are non-refundable except as expressly stated in the applicable Schedule or as required by applicable law.

9.3 We reserve the right to change our pricing with 30 days prior notice. Continued use of the Services after a price change takes effect constitutes acceptance of the new pricing.

9.4 Failure to pay applicable fees may result in suspension or termination of access to the Services.

10 Disclaimers and limitation of liability

10.1 THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 TANGENT9 DOES NOT WARRANT THAT: (A) AI OUTPUTS WILL BE ACCURATE, COMPLETE, OR RELIABLE; (B) THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE; (C) ANY DEFECTS WILL BE CORRECTED; OR (D) THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

10.3 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TANGENT9'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE FEES PAID BY YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM; OR (B) SGD 500.

10.4 IN NO EVENT SHALL TANGENT9 BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR REPUTATIONAL DAMAGE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10.5 Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

11 Indemnification

11.1 You agree to indemnify, defend, and hold harmless Tangent9 and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

  1. Your use of the Services in violation of these Terms;
  2. Your violation of any applicable law or regulation;
  3. Any Content you submit to the Services;
  4. Your infringement of any third-party intellectual property or privacy rights.

12 Suspension and termination

12.1 We may suspend or terminate your access to the Services immediately and without notice if:

  1. You breach any material term of these Terms;
  2. We are required to do so by law or regulatory authority;
  3. We reasonably suspect fraudulent, abusive, or harmful activity associated with your account.

12.2 You may terminate your subscription at any time by following the cancellation process in the platform or by contacting us at support@tangent9.com. Termination takes effect at the end of the current billing period unless otherwise specified in the applicable Schedule.

12.3 Upon termination, your right to access the Services ceases immediately. We will handle your data in accordance with our Privacy Policy and the applicable Schedule.

13 Changes to these Terms

13.1 We may update these Terms from time to time. We will notify you of material changes by email or by a prominent notice within the platform at least 30 days before the changes take effect.

13.2 Your continued use of the Services after the effective date of updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must stop using the Services before the effective date.

14 Governing law and dispute resolution

14.1 These Terms are governed by and construed in accordance with the laws of the Republic of Singapore, without regard to its conflict of law principles.

14.2 Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall first be referred to mediation administered by the Singapore Mediation Centre (SMC) in accordance with its mediation rules.

14.3 If the dispute is not resolved by mediation within 60 days of the referral (or such longer period as agreed), either party may refer the dispute to the courts of Singapore, which shall have exclusive jurisdiction.

15 General

15.1 Entire agreement. These Terms, together with all applicable Schedules, Addenda, and the Privacy Policy, constitute the entire agreement between you and Tangent9 regarding the Services and supersede all prior agreements.

15.2 Severability. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it in the future.

15.4 Assignment. You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

Part 2 · Schedule A

AI Personal Assistant Platform

Additional terms for individual consumer subscribers of the Personal Assistance (PA) Platform. These supplement, and where they conflict take precedence over, the Master Terms for PA Platform users.

A1 Scope

These additional terms apply to individual consumers who subscribe directly to the PA Platform ("you", "subscriber"). They supplement and, where they conflict, take precedence over the Master Terms for PA Platform users.

A2 Subscription plans and free trial

A2.1 The PA Platform is available under the following plan tiers: Starter, Professional, and Trial.

A2.2 A free trial of 14 days may be offered to new subscribers. At the end of the trial period, your account will automatically convert to a paid plan or be suspended, depending on your selection at sign-up. We will notify you 3 days before the trial ends.

A2.3 Trial accounts are limited to 10 users, 5GB storage, and all Professional plan features for the duration of the trial.

A3 Subscription, billing and cancellation

A3.1 Your subscription renews automatically at the end of each billing period (monthly or annual, as selected). You authorise us to charge your nominated payment method at the start of each renewal period.

A3.2 You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. You will retain access to the Services until the end of the paid period.

A3.3 We do not offer refunds for partial billing periods except where required by the Consumer Protection (Fair Trading) Act or other applicable Singapore consumer protection law.

A4 Consumer rights

A4.1 As a consumer in Singapore, you have rights under the Consumer Protection (Fair Trading) Act. Nothing in these Terms limits or excludes rights you have under applicable consumer protection law that cannot be contractually excluded.

A4.2 If you believe the Services do not conform to these Terms or are not of acceptable quality, please contact us at support@tangent9.com. We will work with you to resolve the issue in good faith.

A5 PA Platform AI Features, consumer-specific notices

A5.1 The PA Platform includes the following AI-powered features available to subscribers based on their plan:

  • AI Personal Assistant: conversational interface for task management, CRM actions, leave applications, and expense submissions.
  • Name Card OCR (/scan): extracts contact information from photographed business cards. Extracted fields are flagged "AI extracted, please verify" and must be confirmed by you before saving.
  • Receipt OCR (/expense): extracts expense details from photographed receipts. You must review and confirm all extracted fields before submitting a claim.
  • AI Business Research Agent: researches organisations from public web sources. Factual assertions are designed to include cited source URLs. You are responsible for independently verifying research outputs before relying on them.
  • Rewards and Leaderboards: the Engagement Engine tracks sales-related activities and displays performance leaderboards. Leaderboard data reflects platform activity only and does not constitute a performance appraisal.

A5.2 All AI actions in the PA Platform are classified by risk tier. Actions classified as Medium risk require your explicit confirmation before execution. Actions classified as High or Critical risk require human approval through the platform's workflow engine before execution. You agree not to attempt to bypass these controls.

A6 Data stored on your device

A6.1 The PA Platform is a Progressive Web Application (PWA) that may be installed on your mobile device or desktop. The application does not store data offline: all data remains on our servers and requires an active internet connection to access.

A6.2 If you install the PA Platform as a PWA, the application icon and branding on your device will reflect your tenant's configuration. Uninstalling the PWA does not delete your account or data: you must separately cancel your subscription and request data deletion if required.

A7 Liability limitation for consumers

A7.1 Notwithstanding Section 10.3 of the Master Terms, where you are a consumer and applicable law does not permit the limitation of liability to the amount specified in Section 10.3, our liability to you shall be limited to the maximum extent permitted by applicable law.

Part 3 · Schedule B

Agentic Workforce Platform

Additional terms for enterprise customers. These supplement, and where they conflict take precedence over, the Master Terms for Agentic Workforce Platform customers.

B1 Scope

These additional terms apply to organisations ("Customer", "you") that enter into a subscription agreement for the Agentic Workforce Platform. They supplement and, where they conflict, take precedence over the Master Terms for Agentic Workforce Platform customers. The individual users within your organisation who access the platform are subject to the Master Terms as end users.

B2 Enterprise agreement and order forms

B2.1 Access to the Agentic Workforce Platform is subject to execution of a separate Order Form or Enterprise Agreement between Tangent9 and the Customer. The Order Form specifies: subscription tier, number of authorised users, permitted use cases, connector configurations, and any custom SLA terms.

B2.2 In the event of conflict between these Terms and the Order Form, the Order Form takes precedence.

B3 Agentic Workforce Platform features

B3.1 The Agentic Workforce Platform enables your organisation to build and deploy custom AI agent teams. Key capabilities include:

  • Composable Agents: administrators may assemble agents by assigning Skills (contextual knowledge blocks) and Tools (system action capabilities) through the Admin Portal.
  • Connector Catalogue: agents may be granted access to authorised third-party enterprise systems including Gmail, Outlook, Slack, Microsoft Teams, Salesforce, HubSpot, Jira, Zendesk, GitHub, Notion, and Stripe, subject to your connector configuration and authorisation.
  • Scheduled (Unattended) Agents: agents may be configured to execute autonomously on a scheduled basis (cron-style) for repetitive tasks such as inbox triage or report generation.
  • Agent-to-Agent Handoffs: complex multi-step workflows may involve one agent triggering another as part of an orchestrated plan.

B4 Customer responsibilities for agentic deployments

B4.1 You acknowledge that the Agentic Workforce Platform enables significantly greater autonomous capability than a standard AI assistant tool. As the deploying organisation, you accept responsibility for:

  1. Agent configuration: ensuring that agents are configured with only the minimum permissions, connectors, and tools necessary for their intended function. Tangent9 provides the capability; you are responsible for how it is configured and deployed within your organisation;
  2. Connector authorisation: ensuring that all third-party system connectors authorised for agent use have been approved by your information security, legal, and data governance teams. You represent that you have the right to grant agents access to the connected systems;
  3. Unattended execution oversight: establishing internal review processes for all scheduled (unattended) agent executions. You acknowledge that unattended agents execute autonomously and that errors may propagate before human review occurs. You agree to monitor unattended agent outputs on a regular basis;
  4. Agent-to-agent workflow governance: ensuring that multi-agent handoff workflows have defined human oversight checkpoints for any step that involves consequential actions (including sending external communications, modifying records, or triggering financial processes);
  5. End user training: ensuring that all employees who interact with or configure agents understand the capabilities and limitations of AI Features as described in Section 5 of the Master Terms.

B4.2 You agree to maintain and enforce an internal Acceptable Use Policy for the Agentic Workforce Platform that is consistent with Section 4 of the Master Terms and with your obligations under applicable law.

B5 Agentic Workforce Platform AI safety requirements

B5.1 You acknowledge that the Agentic Workforce Platform includes autonomous and semi-autonomous execution capabilities that carry a higher inherent risk profile than the PA Platform. The following safety requirements apply to all Agentic Workforce Platform deployments:

  1. Human approval gating: any agent action that involves sending external communications, modifying financial records, deleting data, or changing access permissions must be configured with a human approval gate. You must not configure agents to bypass these controls;
  2. Least privilege principle: agents must be granted only the connectors and tools required for their specific function. Granting agents broad or unrestricted access to enterprise systems is prohibited under these Terms;
  3. Audit logging: all agent actions, tool calls, and connector interactions are logged. You agree not to disable or circumvent audit logging;
  4. Scheduled agent review: you agree to review the outputs of all scheduled (unattended) agents at least weekly and to promptly disable any agent whose outputs are inconsistent with its intended function;
  5. Incident reporting: you agree to notify Tangent9 at support@tangent9.com within 48 hours of becoming aware of any agent behaviour that results in unintended external communications, unauthorised data access, or any other material safety incident.

B5.2 Tangent9 reserves the right to suspend any agent configuration that, in our reasonable assessment, poses a material safety risk to your organisation, third parties, or the platform.

B6 Third-party connectors

B6.1 The Agentic Workforce Platform integrates with third-party enterprise systems through authorised connectors. Your use of these connectors is subject to:

  1. These Terms;
  2. The terms of service and privacy policies of the relevant third-party system;
  3. Any additional connector-specific terms presented at the time of connector authorisation.

B6.2 Tangent9 is not responsible for the availability, security, or data handling practices of third-party connected systems. You are responsible for ensuring that your use of connected systems through the platform complies with your agreements with those third parties.

B6.3 Tangent9 does not store third-party system credentials in the AI layer. Connector credentials are held in the trusted backend execution layer and are not accessible to AI agents directly.

B7 Data processing

B7.1 For the purposes of applicable data protection law, with respect to personal data processed through the Agentic Workforce Platform:

  1. You are the data controller (or processor, where you are processing data on behalf of your own customers);
  2. Tangent9 acts as a data processor on your behalf.

B7.2 The terms of data processing are set out in the Data Processing Addendum (DPA) at Schedule C, which you must execute prior to going live with any agent configuration that involves personal data.

B8 Service levels

B8.1 Service level commitments for the Agentic Workforce Platform, including uptime targets, support response times, and incident escalation procedures, are set out in your Order Form or a separately executed Service Level Agreement.

B8.2 Scheduled agent execution times are best-effort. Tangent9 does not guarantee that scheduled agents will execute at the exact configured time and is not liable for delays caused by platform maintenance, third-party connector availability, or LLM provider degradation.

B9 Liability, enterprise customers

B9.1 Notwithstanding Section 10.3 of the Master Terms, Tangent9's total aggregate liability to the Customer under or in connection with these Terms and any Order Form shall not exceed the total fees paid by the Customer in the twelve (12) months preceding the claim.

B9.2 Tangent9 shall not be liable for any loss or damage arising from:

  1. Agent configurations made by your administrators that grant excessive permissions or disable safety controls in contravention of these Terms;
  2. Actions taken by agents in connected third-party systems, where the relevant action was authorised by your administrator configuration;
  3. Outputs of scheduled (unattended) agents that are not reviewed by your team within a reasonable period;
  4. Failure of third-party connected systems or changes to third-party APIs that affect agent functionality.
Part 4

Regional Addenda

Jurisdiction-specific clauses.

Singapore law governs all current deployments under Part 1, Section 14. The addenda below are activated and populated when Tangent9 expands operations to the relevant jurisdiction. Each addendum, when activated, takes precedence over conflicting provisions in Parts 1 to 3 for users in that jurisdiction.
